By-Laws Article I: Name 1. The name of the Association shall be the Upper Mt Hope Neighbors, here in after referred to as the "Association". Article II: Boundaries 2. The boundaries of the neighborhood Association shall be from Westfall Road to Elmwood Avenue and from South Avenue to Castleman Road. Article III: Objectives 1. To ascertain the needs and concerns of the neighborhood. 2. To provide a forum which focuses on these needs and concerns. 3. To serve as a vehicle to take positive action to address these needs and concerns. Article IV: Membership 1. All persons 18 years of age or older who reside, own, lease, or rent property in the neighborhood as defined in Article II) shall be eligible for active membership in the Association. 2. Each Active member shall be entitled to one vote in the general affairs of the Association. Article V: Annual Donation 1. Annual dues required for active membership in the Association shall be determined by vote determined by vote of the executive committee. 2. The dues for senior citizens and students will be pro-rated as 50% of he regular annual dues. 3. Dues will be collected on a calendar basis. Dues collected after October 31 will be credited toward the following year. Article VI: General Membership Meetings 1. The Association shall have a minimum of two town meetings to be held in spring and fall. 2. Special meetings may be called by a majority of the Executive Committee, or upon petition of seven members, and must be held 30 days of the said petition. 3. Notices of any meeting except an emergency meeting shall be given 14 days in advance and shall contain the agenda. 4. Emergency meetings may be called by three members of the Executive Committee and shall be held as soon as possible. 5. A quorum shall consist of a least 10% of the dues-paying members. Article VII: Officers and Executive Committee 1. The officers shall consist of President, Vice President, Recording/Corresponding Secretary, Treasurer, and Trustee (Past-President). 2. Officers must have served as a Block Captain for the street they reside on for at least six months prior to nomination. 3. The Executive Committee shall consist of the duly elected officers, the Block Captains and Chairperson of each Standing Committee. 4. The Executive Committee shall meet monthly. A quorum shall consist of five members. Failure of a member to attend three consecutive meetings may be grounds for removal. 5. Only Executive Committee members will hold rights to vote during monthly meetings. Proxy voting is prohibited. Article VIII: Powers and Duties of Officers 1. The President shall: - Be the chief administrative officers of the Association. - Preside at meetings of the Association and the Executive Committees. - Perform the usual other duties of a President. 2. The Vice President shall: - In the absence of the President, perform the duties of the President. - Serve on the nominating committee, appoint the Block Captains, and serve as their coordinator. - Perform other duties as may be assigned by the President. 3. The Recording/Corresponding Secretary shall: - Keep a record of the proceedings of the Association and the Executive Committee. - Maintain a copy of the proceedings of other meetings. - Give the required notice for the annual and other meetings. 4. The Treasurer shall: Deposit all moneys collected by the organization into its bank account within 30 days of the receipts of such funds. - Keep records showing the source of all income and purpose of expenditures. - Obtain the approval of the Executive Committee for all expenditures of more than $50.00. - Present books and checkbook for the President's verification upon request. - Present the financial report at each general meeting. - Present the state of the finances at each Executive Committee meeting. 5. The Past-President shall: - Advise and assist as called upon by the President and Vice President of the Executive Committee. Article IX: Block Captains 1. A Block Captain must be a permanent resident of the street in which he or she will represent and be at least 18 years of age, and shall serve as liaisons between residents of their streets and the officers of the Association. 2. Attend the monthly Executive Committee meetings. 3. Assume responsibility of the distribution of the Association publications to the residents of their streets. 4. Be active members of Standing Committees. Article X: Standing Committee 1. The Executive Committee may convene a Standing Committee as it deems necessary. 2. The chairperson of each Standing Committee will be appointed by the President with the approval of the Executive Committee. 3. The Nominating Committee shall consist of the Past-President, Vice President, three Block Captains, and two Standing Committee Chairpersons. The members of this committee shall select their own chairperson. Article XI: Elections 1. Elections of officers will be held annually. 2. The President and Vice President shall be elected in even years, Secretary and Treasurer in odd numbered years, all during the fall General meeting. 3. The slate of candidates for election shall be given to all members with notice of the meeting. 4. Nominations will also be accepted from the floor. 5. Balloting for officers shall be done by acclamation. 6. A plurality of votes cast shall be sufficient to elect. 7. Offices that become vacant in mid-term shall be filled by the Presidential appointee with the approval of the Executive Committee. Article XII: Terms of Office 1. The term of office for each elected official shall be two years. 2. The term of office will begin January 1 following the general elections. 3. An elected official may not hold the same office for more than two consecutive terms. Article XIII: Amendments 1. Petitions for amendments to the Bylaws shall be submitted to the Secretary at least 30 days prior to the general meeting at which it is to be brought up. 2. The proposed amendment shall be published in the agenda distributed before the meeting. 3. Voting on said amendment may take place at said meeting. 4. A two-thirds vote of the active members present shall be required to amend. Article XIV: Dissolution 1. This Association may be dissolved by the vote of two-thirds of the Executive Committee. In the event of dissolution of the Association, any cash on hand held in the name of the Association shall be contributed to the Associations successor. In the absence of a successor, all moneys are to be evenly distributed among all churches and not for profit organizations found within the boundaries (as defined in Article II and amendments of said article) of the Association.
